Instructions

In Chapter 30 please find Exhibit 30-2 on page 574. The chart shows the differences between general partnerships and limited partnerships.

To the existing chart add “Sole Proprietorship” to the left of general partnership and limited partnership. To the right of Limited Partnership, add “Limited Liability Company” and “Franchise”. The final chart should read: Characteristic, Sole Proprietorship, General Partnership, Limited Partnership, Limited Liability Company, Franchise.

In Resources, I placed a sample matrix for your convenience. (Also see attached.) You may enhance it if you like. First, copy in the material from the text as suggested. (Do not leave the instructions in the matrix. It will annoy me, and you do not want a grumpy grader.) If you do not use the matrix, make a table of your own. Do not submit your answer as an essay: free flowing narratives are difficult to grade and relatively useless when comparing the organization types across characteristics.

The last row asks you to provide an example of each type of business organization. Sole proprietors are not required to register with the State, so you will have to find them on your own. All others are required to register with the DCCA (Department of Commerce and Consumer Affairs). You will find the DCCA website most helpful to find examples when you search by business names. Note that many organizations are required to indicate their business organization as part of their title, e.g., limited liability partnership = LLP.
